02Intellectual Property Rights

  • Proprietary software: all rights, title, and interest in our ERP, Community Platform, and supporting frameworks, including source code, architecture, and documentation, remain with Oncloud Infotech.
  • Custom modules: ownership and licensing of bespoke modules developed for a client are defined in the applicable statement of work; underlying reusable components and libraries remain ours.
  • Trademarks and branding: the Oncloud Infotech name, logo, and visual identity may not be used without prior written permission.
  • Client content: data, records, and materials you upload remain yours; you grant us a limited licence to process them solely to deliver the services.

03Use of Services & Acceptable Conduct

When using our website or platforms, you agree not to:

  • Attempt unauthorised access to accounts, servers, networks, or client environments.
  • Reverse engineer, decompile, disassemble, or derive source code from any part of our software except where such restriction is prohibited by law.
  • Introduce malware, conduct penetration or load testing without written authorisation, or interfere with service availability.
  • Resell, sublicense, or provide service-bureau access to the platform without a written agreement.
  • Upload unlawful, infringing, or harmful content, or misuse communication features.

We may suspend access where conduct threatens platform security, integrity, or other clients' operations.

04Disclaimers & Limitation of Liability

  • Website content: material on this website is provided for general information and does not constitute a warranty, commitment, or professional advice.
  • Uptime: service availability commitments apply only where stated in a signed service level agreement. Scheduled maintenance, client-side infrastructure, and third-party outages are excluded.
  • Warranties: except as expressly stated in a written agreement, services are provided "as is" without implied warranties of merchantability or fitness for a particular purpose.
  • Liability cap: to the maximum extent permitted by law, our aggregate liability is limited to the fees paid for the affected service in the twelve months preceding the claim, and we are not liable for indirect, incidental, or consequential loss including loss of profits or data.

05Governing Law & Contact

These terms are governed by the laws of India. The courts at Kochi, Kerala have exclusive jurisdiction over any dispute arising from these terms or your use of our services, subject to any arbitration clause in a signed agreement.
